ATICO SOLUTIONS PTY LTD - TERMS OF SERVICE

IMPORTANT — PLEASE READ CAREFULLY: Your use of and access to all data and services (collectively, the “Services”) is subject to the following Terms of Service. By using the Services, you agree to be bound by these terms. These Terms of Service constitute a legal agreement (“Agreement”) between you and Atico Solutions Pty Ltd (“Atico,” “we,” or “us”). If you do not agree to these Terms of Service, do not use or access our Services.
Services
Atico Solutions Pty Ltd provides a service called “Sales Platform” which is a software-only platform for interactive visualisation of property developments (including but not limited to, off-the-plan apartments, commercial spaces, warehouses, or refurbished buildings). The Services are accessible via compatible devices such as tablets or touchscreen displays, either on-site in a display suite, in a private sales setting, or remotely.
We may modify, suspend, or discontinue the Services (in whole or part) at any time. You are responsible for ensuring your device and internet connectivity meet the technical requirements for the platform. The following defined terms may appear in Your Estimate: “Initial Subscription Term” means the initial subscription term for a Service as specified in an estimate.
“Order Start Date” means the date an Initial Subscription Term begins as specified in an Estimate.
“Renewal Term” means the renewal subscription term for a Service commencing after the Initial Subscription Term or another Renewal Term as specified in an Estimate.Use of Services
You agree to use the Services solely for lawful purposes. You may not: - Repurpose, resell, or sublicense the platform without our written permission. - Upload or share unlawful, offensive, or infringing content. - Disrupt the operation or security of the Services.
We reserve the right to suspend or terminate access for anyone who violates these terms.Fees and Payment
Atico operates on an annual subscription model for its “Sales Platform”. All fees are outlined in your service agreement or invoice. The license scope and limitations, including number of projects or allowed usage, are stipulated in your invoice. Unless otherwise agreed in writing, all fees are non-refundable. Failure to pay may result in suspension or termination of access.Charges and Cancellation
You agree that Atico may charge to your selected and approved payment method all amounts due and owing for the Services, including subscription fees, set-up fees, or any other charges associated with your account. Atico may revise prices at any time, provided that you will be given prior notice and an opportunity to cancel your subscription if pricing changes. No additional charges will be made without your consent to the revised fees.
If Atico is unable to collect payment using your provided payment method, you agree that Atico may take reasonable steps to recover such fees and you will be responsible for all related costs, including collection fees, court costs, and legal expenses.
Interest may be charged on unpaid balances at the lesser of 1.5% per month or the maximum rate permitted by law. You may cancel your subscription at any time; cancellation will be effective at the end of the current subscription term. No refunds will be issued for fees already paid.Intellectual Property
All intellectual property in the Services and software (including designs, features, branding, and source code) remains the exclusive property of Atico and its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business or promotional use only.Data and Privacy
By using our Services, you agree to our Privacy Policy, which outlines how we collect, store, and use data. You retain all rights to content you upload but grant Panizzon Studio a license to use it for operating the Services.Support and Availability
Atico provides standard support via email for technical issues and feature requests. We aim for high availability but do not guarantee uninterrupted service.Termination
If you have purchased a Service for a specific term, such termination will be effective on the last day of the then-current term. Your Estimate may provide that a Renewal Term will begin automatically unless either party provides notice of termination at least thirty (30) days prior to the commencement of the next Renewal Term. If You fail to comply with any provision of this Agreement, Atico may terminate this Agreement immediately and retain any fees previously paid by You. Upon any termination of this Agreement, You must cease any further use of the Services and destroy any copies of associated software within Your possession and control. You will not destroy or attempt to harm any Services or associated software on Atico’s servers or Atico’s network.Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. ATICO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATICO IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OR INABILITY TO USE THE SERVICES. OUR TOTAL LIABILITY IS LIMITED TO THE AMOUNT PAID BY YOU IN THE PRECEDING 12 MONTHS.Governing Law
This Agreement is governed by the laws of Queensland, Australia. Any disputes shall be resolved in the courts of Queensland.Amendments
We may update these Terms of Service at any time. Continued use of the Services after changes constitutes acceptance of the new terms.
